Affiliate Agreement

This Independent Site Affiliate Agreement (“Agreement”) is entered into by and between Xuzhou Yisheng Trade Co.,Ltd (“YISHENG”, “We ”, “we”, “us”) and you as an affiliate partner utilizing YISHENG’s services (“you”, “your”, the “Affiliate Partner”). If you use the YISHENG Services, you are deemed to have no objection to the terms of this Agreement. If you have any objections, please discontinue your use immediately. If you violate any of the terms and conditions of this Agreement, YISHENG shall have the right, in its sole discretion, to immediately terminate this Agreement and the relationship with any Affiliate Partner, and at the same time, your referral account will be immediately suspended and all of your commissions will be canceled!
The following agreement is summarized below:

1. You may not use any method or technology to steal referral links or orders from others in the YISHENG affiliate program.
2. You may place our banners anywhere on your website or in non-spam emails as you see fit.
3. You may place banners or links in your newsletter, website content or other web related content.
4. Websites that are defamatory, libelous, obscene, terrorist, racist, sexually harassing or pornographic, alcohol, tobacco, gambling/lottery or other related content are not allowed. Any content or material contained on or accessible from your site must not violate any civil or criminal law, including those laws regulating the use and distribution of Internet content.
5. All statistics are collected and calculated by YISHENG and will be used as the only valid statistics to determine commissions.
6. As an affiliate partner, you may only have one account with multiple domains listed in that account. Self referrals from affiliate partner accounts are strictly prohibited.
7. You may not send spam or emails to unauthorized lists or groups, if this occurs we will terminate your account and no commissions or rewards will be paid.
8. You may not use, install any web browser add-ons, toolbars or pop-ups on your site.
9. You may not design your website to contain qualifying links in any way that diverts Internet traffic away from YISHENG.
10. You must not attempt to modify or alter our website in any way.
11. You must not use our trademarks on website pages or in profile names.
12. You may not use the YISHENG logo as a profile, header or website logo.
13. You may not communicate or act as a representative of YISHENG.
14. You may not use our trademarks, industrial designs, patents, or any descriptions, pictures, images, or videos other than for the purposes of this Agreement without our written consent.
15. You may not use any trademarks or any licensed materials in connection with any advertisement not created or provided by YISHENG in any manner that could imply, mislead visitors to the Site into believing that YISHENG is the creator or sponsor of such advertisement, without YISHENG’s prior written approval.
16. You may not bid on our Trademarks on any website that provides search engine services and that directs traffic to any website other than ours (including your website).
17. Fraud is defined as any intentional attempt to use robots, frames, inline frames, scripts, or manual “refreshing” of pages to generate sales, leads, or clicks for a commission. Any attempted fraud or fraudulent behavior will result in account termination and invalidation of commissions.
    YISHENG will be responsible for all order processing and fulfillment, as required by applicable law, of orders placed by customers who access YISHENG’s website through your eligible links.
    YISHENG reserves the right to reject orders that do not meet any reasonable requirements that we may periodically establish. In addition to this, we will prepare order forms; process payments, cancellations and returns; and handle customer service. Through YISHENG’s internal affiliate program, you can view reports summarizing this sales activity.
18. To ensure accurate tracking, reporting, and fee accrual, you must ensure that your qualifying links are formatted correctly. YISHENG is not responsible for incorrectly formatted links, regardless of whether or not you have made changes to the code. In addition, we are unable to track or give statistics on sales made by customers who were referred to us using browsers that do not have cookies enabled.
19. If you violate any of the terms and conditions of this Agreement, YISHENG has the right, in its sole discretion, to immediately terminate this Agreement and the relationship with any Affiliate Partner, and you will not be able to receive any commissions.
